By accessing or using the APEX platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Account Terms

To use the Service, you must:

  • Be at least 18 years of age.
  • Provide accurate, complete, and current information during registration.
  • Maintain the security of your account credentials.
  • Accept responsibility for all activity that occurs under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

3. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to send unsolicited communications in violation of applicable laws (e.g., CAN-SPAM, GDPR).
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service in a manner that could damage, disable, or impair the Service.
  • Resell or redistribute access to the Service without our written consent.

4. Intellectual Property

The Service, including all content, features, and functionality, is owned by APEX and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

5. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days' notice. If you cancel your subscription, you will retain access until the end of your current billing period.

6. Termination

We may suspend or terminate your account at any time if you violate these Terms or if required by law. You may cancel your account at any time through the Service settings. Upon termination, your right to use the Service ceases immediately, and we may delete your data after a reasonable retention period as described in our Privacy Policy.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI-generated outputs, including prospect research and outreach drafts, are provided as suggestions and should be reviewed before use.

8. Limitation of Liability

To the maximum extent permitted by law, APEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
